1. Acceptance of these terms

By visiting this website, downloading Panda VPN, creating or using an account, purchasing a plan, using a trial, connecting through our apps, or interacting with any related support or delivery features, you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not continue to access, download, register for, or use the service.

2. Service provider

Panda VPN is provided by PPanda Security LLC, 3155 Preston Hall Dr, San Antonio, Texas, 78247. References in these Terms to "we," "our," or "Panda VPN" refer to PPanda Security LLC and its authorized representatives unless the context clearly says otherwise.

3. Service scope

Panda VPN provides VPN-related software, download paths, node access, account services, updates, FAQ content, support channels, and related website features. The exact set of platforms, nodes, countries, protocols, connection limits, trial options, support scope, and pricing may change over time and may differ by region, platform, promotion, or purchase channel.

4. Eligibility and account responsibility

You represent that you can enter into a binding agreement under applicable law. If you use the service on behalf of a company or organization, you represent that you have authority to accept these Terms for that entity. You are responsible for keeping account credentials, verification methods, and payment methods secure and for activities that happen through your account.

5. Downloads and software license

Subject to these Terms and any applicable payment obligations, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use Panda VPN on devices you own or control for lawful personal or internal business use. This license does not transfer ownership of the software, source code, design, trademarks, infrastructure, or related intellectual property.

Unless applicable law clearly allows it, you may not reverse engineer, decompile, resell, sublicense, mirror, modify, distribute, repackage, impersonate official builds, remove notices, or use our software and files to create a competing or counterfeit service.

6. Plans, billing, renewals, and refunds

If you buy a paid plan, you agree to the pricing, currency, taxes, billing cycle, and renewal rules shown at checkout, on your invoice, through your app store, or in the applicable plan description. Some plans may renew automatically until canceled before the next billing date. Trials, promotions, gift months, introductory pricing, and discounts apply only under their stated conditions and may not combine with every other offer.

Refund rights, cooling-off periods, and cancellation behavior may depend on the payment channel, platform rules, your location, and any mandatory consumer law. Purchases made through Apple App Store, Google Play, or another third-party marketplace may be governed by that platform's refund rules.

7. Availability, node access, and performance

We work to keep the service available and improve node distribution, app quality, and connection stability, but we do not promise fixed speeds, fixed latency, uninterrupted access, a specific number of nodes, permanent access to every country, or lasting compatibility with every website, service, or network environment. Real-world performance depends on many factors outside our control, including local networks, device state, operating system permissions, ISP conditions, time of day, upstream infrastructure, and third-party platform policies.

8. Acceptable use

You may use Panda VPN only for lawful purposes and in a way that complies with applicable law, platform rules, sanctions requirements, and third-party service terms. You may not use the service to perform or assist with unlawful activity, fraud, harassment, abuse, malware delivery, credential theft, spam, unauthorized network access, copyright infringement, denial-of-service attacks, or other activity that harms people, infrastructure, or legal rights.

9. Anti-abuse, risk controls, and fair-use protection

To keep the service stable and protect the network, we may apply reasonable controls such as rate limits, concurrency limits, account verification, anti-fraud reviews, suspicious-session checks, protocol restrictions, or temporary account holds. These controls are meant to protect service integrity, reduce automated abuse, and keep regular use reliable for legitimate customers.

10. Third-party platforms and services

Our service may rely on app stores, payment processors, email providers, hosting vendors, content delivery networks, support tools, and other infrastructure partners. Those third parties may have their own terms, refund rules, privacy practices, and billing systems. We are not responsible for independent actions taken by third-party platforms that are outside our control.

11. Intellectual property and brand use

The website, software, guides, page design, trademarks, logos, content, documentation, and related technical material remain the property of PPanda Security LLC or its licensors unless stated otherwise. We may sometimes provide early access, beta features, trial nodes, or experimental product components. These features may change, break, or disappear without notice and may not be suitable for high-risk, critical, or non-recoverable use cases. Unless we clearly say otherwise, experimental features are offered as-is.

13. Disclaimers

To the fullest extent allowed by law, the website, software, nodes, FAQ articles, and support materials are provided on an "as is" and "as available" basis. We do not make promises of merchantability, fitness for a particular purpose, non-infringement, uninterrupted access, fixed performance, permanent platform compatibility, or guaranteed access to specific third-party websites, apps, or media catalogs.

14. Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, consequential, punitive, special, or exemplary damages, including loss of profit, loss of business, interruption, data loss, device issues, account restrictions by third parties, or related downstream harm. Where liability cannot be excluded, our total aggregate liability will not exceed the amount you paid us for the relevant service during the 12 months before the event giving rise to the claim, or the minimum amount required by mandatory law where higher.

15. Suspension and termination

You may stop using the service and cancel any renewable plan according to the purchase channel rules. We may suspend, restrict, or terminate access when necessary for security, fraud prevention, legal compliance, payment disputes, repeated abuse, intellectual-property violations, or serious breaches of these Terms. After suspension or termination, sections that by nature should survive, such as billing, privacy, intellectual property, disclaimers, liability limits, and dispute rules, continue to apply.

16. Export controls and restricted use

You agree not to use, transfer, or make the service available in violation of export controls, trade restrictions, sanctions rules, or similar legal restrictions. We may limit features, regions, nodes, or payment paths when required by law, supplier obligations, or infrastructure policy.

17. Governing law and disputes

Unless mandatory law says otherwise, these Terms are governed by the laws of the State of Texas, United States, without applying its conflict-of-law rules. The parties will first attempt to resolve disputes through a support or direct contact channel. If that does not work, disputes may be brought before courts located in or having jurisdiction over San Antonio, Texas, unless mandatory law requires a different forum.

18. Changes to these terms and contact information

We may update these Terms to reflect changes in the service, pricing, laws, infrastructure, risk controls, or support operations. The latest version will be posted on this page with an updated effective date, and where appropriate we may notify users through the site, the app, or email.
